VEDA Workspace Terms of Service
These Terms govern your organization's use of VEDA Workspace, the connected business workspace provided by Verion, including any paid subscription you purchase.

1. About these Terms
These Terms of Service ("Terms") form an agreement between Verion and the organization that creates or holds a VEDA Workspace account ("you", "your organization", or "Customer"). They govern access to and use of VEDA Workspace, including the workspace application, the modules enabled for your organization, and any paid subscription.
These Terms apply to VEDA Workspace as a service. They are not the same as the terms that govern simply browsing a Verion marketing website. Where you have signed a separate written agreement with Verion covering the same subject matter, that agreement governs to the extent of any conflict.
By creating an account, accepting an invitation to a workspace, or using the service, you agree to these Terms. If you do not agree, do not use the service.
2. Who provides VEDA Workspace
VEDA Workspace is provided by Verion, a technology company based in Thailand. Verion is the party you contract with for the service.
The contracting entity is VERION TECHNOLOGY CO., LTD. (บริษัท เวริออน เทคโนโลยี จำกัด), taxpayer identification number 0125569024157, registered at 331/12 Bang Rak Phatthana, Bang Bua Thong, Nonthaburi 11140, Thailand. This is the entity that issues your invoices and the entity to which any notice under these Terms should be addressed.
Verion is not currently registered for Thai value added tax. Fees are therefore charged without VAT and the documents we issue are commercial invoices and receipts, not tax invoices (ใบกำกับภาษี). If that changes, prices and documents will state it and this page will be updated.
3. Eligibility and organizational authority
VEDA Workspace is business software intended for organizations and the people who work for them. It is not intended for personal or household use, and it is not directed at children.
If you create an organization account, accept these Terms, or purchase a subscription on behalf of an organization, you confirm that you are authorised to bind that organization. In that case "you" means the organization, and the organization is responsible for the acts and omissions of its users.
4. Accounts and security
You are responsible for the accounts created within your organization's workspace and for the activity that takes place under them.
In particular, you are responsible for:
- keeping sign-in credentials confidential and not sharing accounts between people;
- deciding who is invited to your workspace, what roles they hold, and removing access when someone no longer needs it;
- maintaining reasonable security practices on the devices and email accounts your users rely on to access the workspace;
- notifying Verion promptly at hello@verion.one if you suspect unauthorised access to your workspace or credentials.
5. VEDA Workspace
VEDA Workspace is a connected workspace for business operations. Your organization holds one workspace, and the capabilities available inside it depend on the modules and capacity your organization has purchased or been granted.
Modules are offered at different stages of availability. The offerings that can be purchased at any given time, and what each one includes, are stated on the applicable order or checkout page. Descriptions of planned or forthcoming capabilities are not a commitment to release them, to release them on a particular date, or to include them in your subscription.
Verion provides the service on a software-as-a-service basis. Verion does not provide accounting, audit, tax, legal, or other professional advice, and VEDA Workspace is not a substitute for a qualified professional.
6. Free trial
A free trial of 14 days is available for eligible new organizations. No credit card or other payment method is required to start a trial.
How the trial works:
- the trial period begins when your account is activated and runs for 14 days;
- during the trial you have access to the workspace capabilities made available for trial use;
- because no payment method is collected, no charge is made when the trial ends — a paid subscription only begins if you choose to start one;
- when the trial period ends without conversion, the subscription moves to an expired state and paid workspace capabilities stop being available;
- expiry is a change to access only. Your workspace and the business records in it are not deleted because a trial expired, and you can still sign in and start a paid subscription afterwards.
Trials are intended for genuine evaluation. Repeated or artificially created trials for the same organization may be refused.
7. Paid subscriptions and billing
Paid subscriptions are sold on a recurring basis, with monthly or annual billing periods depending on the offering you select.
The following apply to every paid subscription:
- the fees, currency, billing period, and what is included are those shown on the checkout or order page at the time you subscribe — that page is the authoritative statement of price, not this document;
- by subscribing you authorise recurring charges for the subscription and any add-ons or capacity you purchase, until the subscription is cancelled or ends;
- subscriptions renew automatically for successive billing periods at the then-current price for your subscription unless cancelled before the renewal date;
- payments are processed by a third-party payment provider (see Third-party services). Your card or other payment details are provided to that provider, not held by us;
- if a payment fails, we may retry it, notify you, and give you an opportunity to correct the problem. Continued non-payment may lead to suspension and ultimately to the subscription ending;
- prices may change. We give reasonable advance notice of a price change affecting your subscription before it applies to a renewal, so that you can cancel before it takes effect if you do not accept it;
- fees are stated exclusive of taxes unless the order page says otherwise. You are responsible for any taxes, duties, or withholdings applicable to your purchase other than taxes on our income.
8. Modules, entitlements and capacity
What your organization can do inside the workspace is determined by two independent layers, and both must allow an action before it is available.
- Commercial entitlement: your organization purchases modules, features, and capacity. This determines what the organization as a whole is entitled to use.
- User permissions: within that entitlement, your administrators assign roles and permissions to individual users. This determines what each person may see and do.
Purchasing a module therefore does not automatically give every user in your organization unrestricted access to it. Your administrators remain responsible for granting appropriate access internally.
Subscriptions include stated capacity — for example a number of workspace members, a number of companies, or an allowance for usage-based services such as AI assistance, document processing, or storage where those are offered. Capacity is not unlimited. Where an offering includes an allowance, additional capacity may be purchased, and use beyond an allowance may be measured and, where the order page says so, charged.
9. Changes to your subscription
You may ask to add modules, add capacity, or otherwise change your subscription. Available changes, when they take effect, and any adjustment to fees are shown at the time you make the change.
Reductions in scope — removing a module or reducing capacity — normally take effect at the end of the current paid billing period, so that access you have already paid for is not withdrawn part-way through. We do not commit to pro-rated credits or refunds for reductions unless the order page or applicable law provides for them.
10. Cancellation and expiry
You can request cancellation from within VEDA Workspace. You do not need to contact support to cancel.
- For a paid subscription, cancellation ordinarily takes effect at the end of the current paid billing period. You keep your eligible access until then, and no further renewal charge is made.
- Where a cancellation is scheduled for the end of the period, you may resume the subscription at any time before it takes effect, and billing continues as normal.
- For a trial that has no payment method attached, cancellation takes effect immediately, because there is no paid period to run down.
- Repeating a cancellation or resume request has no additional effect.
Cancellation ends the subscription and the paid access it provided. It does not by itself delete your workspace or the business records in it. See Data after termination.
11. Refunds
Refunds, where offered, are handled in accordance with the terms applicable to the relevant purchase and with applicable law. Because cancellation takes effect at the end of a paid period and access continues until then, amounts already paid for a period that you continue to have access to are not ordinarily refunded.
Where a refund is issued, it is processed through the payment provider that handled the original payment and returned to the original payment method. Confirmation of a completed refund may be sent by that provider as well as by us. A refund adjusts the payment record; it does not by itself close your account or delete your data.
If you believe you have been charged in error, contact billing@verion.one and we will review it.
12. Customer data and content
You retain your rights in the business data and content your organization puts into the workspace — for example your accounting records, documents, customer and supplier records, and operational data ("Customer Data"). We do not claim ownership of it.
You grant Verion the rights needed to host, process, transmit, back up, and display Customer Data for the purpose of providing and supporting the service to your organization, and to comply with law.
You are responsible for the accuracy of Customer Data and for having the necessary rights and lawful basis to put it into the workspace and to have it processed there. This matters particularly where Customer Data includes personal data about your employees, customers, or suppliers.
13. Personal data
Our handling of personal data is described in the Privacy Policy, which forms part of these Terms.
In broad terms, we handle some personal data for our own purposes as a controller — for example account, security, support, and subscription administration data — and we handle personal data contained in your Customer Data on your instructions, in the role of a service provider acting for your organization. Where a written data processing agreement is required for your organization, contact us and we will discuss what is available.
14. VEDA AI features
Where AI-assisted features are enabled for your organization, VEDA Workspace may generate suggestions, summaries, classifications, extracted values, drafts, and proposed actions to help your team work faster.
Please read this section carefully:
- AI-generated output can be incomplete, out of date, or wrong. It is assistance, not a determination of fact.
- You are responsible for reviewing AI-assisted output before relying on it, and you should review anything material before acting on it.
- For accounting, financial, tax, legal, payroll, and similar outputs, AI assistance does not replace professional judgement or any review, approval, or filing obligation that applies to your organization. Do not treat it as advice from a qualified professional.
- Where a workflow requires an authorised person to approve an action, that approval requirement is part of the product and is not satisfied by an AI suggestion.
- AI features operate within the same access controls as the rest of the workspace: they are subject to the entitlements your organization holds and the permissions of the user who invokes them.
Verion does not warrant the accuracy, completeness, or fitness for a particular purpose of AI-generated output. Availability of AI features may depend on your subscription and on applicable usage allowances.
15. Acceptable use
You must not, and must not permit anyone else to:
- use the service for any unlawful purpose, or in breach of any law or regulation that applies to your organization;
- attempt to access another organization's workspace, account, or data, or any part of the service you have not been granted access to;
- circumvent or attempt to circumvent authentication, permissions, entitlement limits, or other access or security controls;
- upload or transmit malicious code, or otherwise attempt to disrupt, damage, or degrade the service or the infrastructure it runs on;
- probe, scan, or test the vulnerability of the service except under a disclosure process we have agreed with you in writing;
- infringe intellectual property, privacy, or other rights of any person through your use of the service;
- use automated means to access the service in a way that places an unreasonable or disproportionate load on it, or to resell or redistribute the service to third parties without our written agreement.
16. Third-party services
We use third-party service providers to operate the service — for example cloud hosting and storage infrastructure, payment processing, email delivery, and, where AI features are enabled, model providers. These providers process data on our behalf under agreements with us.
Payment processing for online purchases is provided by Stripe. Stripe handles the payment transaction and the payment details you enter at checkout, and its own terms and privacy notice apply to that processing. Stripe is not a party to these Terms and is not the provider of VEDA Workspace.
If you choose to connect a third-party application or service to your workspace, your use of that third-party service is governed by its own terms, and we are not responsible for it.
17. Intellectual property
Verion and its licensors own all rights in VEDA Workspace, including the software, platform, interfaces, documentation, and the Verion and VEDA names and branding. Nothing in these Terms transfers any of those rights to you.
Subject to these Terms and to payment of applicable fees, you are granted a non-exclusive, non-transferable right to access and use the service for your organization's internal business purposes during your subscription.
Rights in Customer Data remain with you as described in Customer data and content.
18. Feedback
If you voluntarily send us suggestions, feature requests, or other feedback about VEDA Workspace, we may use it to improve our products without obligation or payment to you. This does not give us any right to your Customer Data, and it does not change any confidentiality obligation we owe you.
19. Availability and changes to the service
We aim to keep the service available and reliable, but we do not promise uninterrupted or error-free operation. Planned maintenance, updates, and occasional unplanned downtime are a normal part of operating a hosted service.
The service evolves. We may add, change, or remove features. Where we make a change that materially reduces the core functionality your organization is paying for, we will give reasonable notice, and you may cancel as described in Cancellation and expiry.
20. Suspension
We may suspend access to the service, in whole or in part, where it is reasonably necessary because of:
- a serious and immediate security risk to the service, to your data, or to other customers;
- use that is unlawful or in material breach of Acceptable use;
- non-payment that remains uncorrected after we have notified you and allowed a reasonable opportunity to resolve it;
- a material breach of these Terms that has not been remedied after notice, where the breach is capable of remedy;
- a requirement imposed on us by law or by a competent authority.
Suspension will be proportionate to the cause and no broader or longer than reasonably necessary. Except where it would be unlawful or would defeat the purpose of the suspension, we will tell you why we suspended access and what is needed to restore it.
21. Termination
You may stop using the service at any time and may cancel a paid subscription as described in Cancellation and expiry.
We may terminate these Terms or your account on reasonable notice if you no longer hold an active subscription or trial, or with immediate effect if you materially breach these Terms and the breach is not capable of remedy or is not remedied within a reasonable period after notice, or if we are required to do so by law.
On termination, your right to access the service ends. Terms that by their nature should survive — including those on Customer data, intellectual property, disclaimers, liability, and governing law — survive termination.
22. Data after termination
Ending a trial, cancelling a subscription, or a subscription expiring changes what you can access. It does not, on its own, delete your workspace data.
How long data is retained after an account ends, and how deletion is carried out, is described in the Privacy Policy. If you need an export of your data or want it deleted, contact us using the details in Contact, and we will tell you what is possible and on what timeline. Some records may need to be retained where law, accounting obligations, or the resolution of a dispute require it.
23. Disclaimers
The service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, and except as expressly stated in these Terms, we do not give any warranty, condition, or other term about the service — including any implied term as to satisfactory quality, fitness for a particular purpose, or non-infringement.
We do not warrant that the service will meet every requirement of your organization, that it will operate without interruption or error, or that output generated by the service — including AI-assisted output and reports — is accurate or complete. You remain responsible for reviewing and verifying the records your organization relies on.
Nothing in these Terms excludes or limits anything that cannot lawfully be excluded or limited.
24. Limitation of liability
To the fullest extent permitted by law, neither party is liable to the other for indirect or consequential loss, or for loss of profit, revenue, anticipated savings, business, goodwill, or opportunity, arising out of or in connection with these Terms, however caused.
To the fullest extent permitted by law, we are not liable for loss or corruption of Customer Data to the extent it results from a cause outside our reasonable control or from your own act or omission, including a failure to maintain your own records or exports where you have chosen to rely on them.
Nothing in this section excludes or limits liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or for any other liability that cannot lawfully be excluded or limited. Any further limitation or cap on liability that applies to your organization is the one set out in a signed agreement between us, if there is one.
25. Changes to these Terms
We may update these Terms as the service and our legal or regulatory obligations change. The version and the effective and last-updated dates are shown at the top of this page.
Where a change materially affects your rights or obligations, we will give reasonable notice before it takes effect — by notice in the product, by email to your organization's administrators, or both. If you do not accept a material change, your remedy is to cancel before it takes effect. Continuing to use the service after a change takes effect means you accept the updated Terms.

27. Governing law and disputes
Verion is based in Thailand, and the service is operated from Thailand. The governing law and the forum for resolving disputes under these Terms are those stated in a signed agreement between us where one exists.
Where there is no signed agreement, we ask you to contact us first so that we can try to resolve the matter directly, and mandatory rights and protections available to you under the law that applies to your organization are not affected.
